Business Certification Document Checklist

List of Supporting Documents for Multiple Certifications

  • Resumes of owners, board of directors, and key management team
  • Evidence of U.S. citizenship (examples include a U.S. passport, U.S. birth certificate or naturalization papers), or Legal Resident Alien status (a legal resident alien card)

  • Documents supporting personal assets and liabilities
  • Narrative statement of economic and social disadvantage for the owner
  • Statement of individual social disadvantage for the owner
  • Personal tax returns for the past three years, if applicable, for each owner claiming disadvantaged status
  • Your firm’s tax returns (gross receipts) and all related schedules for the past three years
  • Year-end balance sheets and income statements for the past three years (or life of firm, if less than three years); a new business must provide a current balance sheet
  • A company balance sheet and income statement no older than 90 days
  • Documented proof of contributions used to acquire ownership for each owner (e.g. both sides of cancelled checks)
  • Your firm’s signed loan agreements, security agreements, and bonding forms
  • Copies of the following documents that are both currently active as well as any initiated within the three years prior to this application:
    • Debt instruments
    • Lease agreements for business for equipment, vehicles, and property
    • Real estate leases
  • Copies of Business insurance including your current schedule of business insurance declaration pages (e.g., comprehensive, liability, worker’s compensation, etc.)
  • Submit copies of the following documents that are both currently active, as well as any initiated within the three years prior to this application:
    • Management/consulting agreements (agreements that influence the management and/or operations of the Applicant company)
    • Service agreements (agreements that influence the day-to-day operations, including the production and/or distribution of the Applicant’s product or service)
  • List of all full- and part-time employees by name, position and length of service
  • Itemized employee payroll for the month prior to submitting this application (NOTE: This refers only to internal employees, not those who might be leased to/from other companies)
  • W-2s and/or 1099 forms from every officer, director or owner receiving compensation from the company for the most recent year.
  • Descriptions of all real estate (including office/storage space, etc.) owned/leased by your firm and documented proof of ownership/signed leases
  • List of equipment leased and signed lease agreements
  • List of construction equipment and/or vehicles owned and titles/proof of ownership
  • Documented proof of any transfers of assets to/from your firm and/or to/from any of its owners over the past two years
  • Bank authorization and signatory cards
  • Schedule of salaries (or other compensation or remuneration) paid to all officers, managers, owners, and/or directors of the firm
  • History of Business (including any changes in ownership/management/legal structure or business activity in the past 5 years)
  • Professional and business license(s) (if applicable)
  • Copy of bank signature authorization card or corporate resolution
  • Trust agreement(s) that involve ownership of the majority 51% female owner (if applicable)
  • A list of current and past Federal and non-Federal contracts within the last two years. Include award date, agency name, and a description of work and dollar value

Corporation

    • Current certificate of good standing
    • Both sides of all corporate stock certificates and your firm’s stock transfer ledger
    • Shareholders’ Agreement
    • Articles of Incorporation
    • Bylaws (include amendments)
    • Past two years of Stockholder and Board Member Meeting Minutes

  • Resolution or other documentation designating officers, directors, and/or general managers as required by the business concern’s governing documents
  • Documentation authorizing the business concern to seek 8(a) BD certification (i.e. meeting minutes).
  • Certificate of incorporation
  • Minutes from shareholders’ first organization meeting and from first board of
  • directors’ meeting
  • Minutes from the shareholders’/board of directors’ meeting establishing current
  • ownership
  • Minutes from the most recent meeting of shareholders
  • Minutes from most recent meeting of board of directors
  • Certificate from the Board Secretary certifying the names and titles of all current members of the board of directors
  • Voting agreements and other equity interests including stock options, warrants, buy/sell agreements and right of first refusal
